TrueStamp Consumer Terms of Use

These Consumer Terms of Use ("Terms") are a binding agreement between you ("User," "you," or "your") and Mohd Aquib Khan and Umar Raza Ansari, doing business as TrueStamp ("TrueStamp," "we," "us," or "our"), a joint venture operating prior to formal incorporation. These Terms govern your access to and use of the TrueStamp mobile application and related services (the "App"), including scanning QR codes, earning loyalty stamps, redeeming promotional rewards, and drafting AI-assisted reviews.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. SEE SECTION 10.

1. Acceptance of Terms

By creating a TrueStamp account, tapping "I Agree," scanning a merchant QR code to enroll in a loyalty program, or otherwise accessing or using the App, you affirmatively acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (together, the "Agreement"). This constitutes an electronic signature and acceptance of a binding contract under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and equivalent state and international electronic transaction laws. If you do not agree to these Terms, do not create an account or use the App.

If you are using the App on behalf of another person, you represent that you have the authority to bind that person to this Agreement.

2. Eligibility & Age Restrictions

You must be at least 13 years of age to create a TrueStamp account or use the App. The App is not directed to children under 13, and we do not knowingly collect personal information from children under 13, consistent with the Children's Online Privacy Protection Act (COPPA).

During account creation, you will be asked to confirm your age through a neutral age-gate screen that does not prompt or encourage users to falsify their birthdate. If we learn, through user report, internal review, or otherwise, that an account belongs to a person under 13, we will terminate that account and delete the associated personal data as soon as reasonably practicable, consistent with our Privacy Policy.

If you are between the age of 13 and the age of legal majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf, or that you otherwise have the legal capacity to accept this Agreement.

3. The Loyalty Program & Rewards

3.1 Nature of Stamps."Stamps" are digital, promotional markers awarded to your account when you scan a participating merchant's ("Business Owner's") QR code following a qualifying visit or purchase. Stamps are:

  • Not currency, cash, a security, a gift card, or stored value of any kind;
  • Not redeemable for cash, in whole or in part, under any circumstance;
  • Non-transferable between users, and may not be sold, bartered, gifted, or assigned; and
  • Valid only with the specific Business Owner that issued them, unless that Business Owner expressly states otherwise.

3.2 Nature of Rewards.Accumulated Stamps may unlock promotional benefits ("Rewards") such as discounts, free items, or other perks defined solely by the Business Owner. Rewards are single-merchant promotional benefits. Rewards are not stored value, gift cards, prepaid access instruments, or any equivalent financial product, and have no cash equivalent value.

3.3 Modification, Expiration, and Forfeiture. TrueStamp and each Business Owner independently reserve the right to modify, discontinue, or change the terms of any Stamp or Reward program at any time, including the number of Stamps required or the nature of Rewards offered. Unless a Business Owner posts a different policy for its own program, Stamps and unredeemed Rewards associated with your account will expire and be forfeited after twelve (12) consecutive months of account inactivity (no scans, redemptions, or app logins). Expired Stamps and Rewards cannot be reinstated.

3.4 TrueStamp Is a Software Provider, Not the Merchant.TrueStamp provides the software platform that enables Business Owners to run their own loyalty programs. Business Owners — not TrueStamp — are solely responsible for defining, honoring, fulfilling, and redeeming their own Rewards. TrueStamp is not a party to, and disclaims all liability for, any Business Owner's refusal or failure to honor a Reward, any dispute over redemption, or any discontinuation of a promotional offer. Any such dispute is solely between you and the relevant Business Owner.

4. AI-Assisted Reviews & User Content

4.1 License to User Content.By submitting a review, photo, rating, or other content through the App ("User Content"), you grant TrueStamp a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, and publish that User Content in connection with operating and promoting the App and the relevant Business Owner's listing.

4.2 AI Is a Drafting Assistant Only.The App may offer an AI-assisted tool to help you organize your thoughts into a written review. This tool is strictly an assistant. It does not, and will not, automatically publish, post, or submit any review on your behalf. Before any review reaches a Business Owner's page, you must personally review the draft, make any edits you consider necessary, and take a separate, affirmative action (such as tapping "Submit Review") to publish it. No review is published without this affirmative step.

4.3 Your Warranties Regarding Reviews. By submitting any review, you represent and warrant that:

(a) you personally had a genuine visit or transaction with the Business Owner being reviewed;

(b) the review reflects your own honest opinions, findings, beliefs, or experiences;

(c) you personally read, and where you made changes, edited the final text before submitting it, regardless of any AI assistance used in drafting it; and

(d) you have not been compensated, incentivized, or instructed by the Business Owner or any third party to post a particular rating or content, beyond earning the standard Stamps awarded for a qualifying visit.

4.4 Prohibited Uses of the AI Tool. You agree not to use the AI-assisted drafting tool, or the App generally, to create, submit, or assist in creating fake, deceptive, manipulated, or misleading reviews, including reviews for visits that did not occur, reviews written on behalf of another person without disclosure, or reviews that misrepresent your actual experience.

4.5 Indemnification for Deceptive Review Use.You agree to indemnify, defend, and hold harmless TrueStamp and its founders from any claim, fine, penalty, or enforcement action — including under the FTC's Rule on the Use of Consumer Reviews and Testimonials (16 C.F.R. Part 465) or the policies of any third-party platform such as Google or Yelp — arising out of your submission of a review that violates Section 4.3 or 4.4.

5. Acceptable Use Policy

You agree not to:

  • Scrape, harvest, or extract data from the App using automated means (bots, crawlers, scrapers) without our prior written consent;
  • Reverse engineer, decompile, or disassemble any part of the App, except to the extent such restriction is prohibited by applicable law;
  • Create multiple accounts, use fraudulent or duplicated QR codes, or otherwise manipulate the App to farm Stamps or Rewards beyond genuine qualifying visits;
  • Engage in fraudulent activity, including impersonating another person or a Business Owner;
  • Harass, threaten, defame, or abuse Business Owners, other users, or TrueStamp personnel, whether through reviews, in-app messaging, or otherwise;
  • Upload content that is unlawful, infringing, obscene, or that violates the rights of any third party; or
  • Interfere with or disrupt the App's servers, networks, or security features.

6. Account Termination

TrueStamp may suspend, restrict, or terminate your account and access to the App, without prior notice, if we determine, in our reasonable discretion, that you have violated this Agreement, engaged in fraudulent or abusive conduct, or posed a risk to other users, Business Owners, or the App itself. Upon termination, your right to use the App ceases immediately, and any unredeemed Stamps or Rewards associated with your account may be forfeited, subject to applicable law. You may also delete your account at any time through the App's settings or by contacting us at truestamp.privacy@gmail.com.

7. DISCLAIMER OF WARRANTIES

THE APP, INCLUDING ALL STAMPS, REWARDS, AI-ASSISTED FEATURES, AND CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUESTAMP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TRUESTAMP DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY REWARD WILL BE HONORED BY A BUSINESS OWNER, OR THAT AI-ASSISTED DRAFTING SUGGESTIONS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

8. LIMITATION OF LIABILITY

BECAUSE THE APP IS PROVIDED TO CONSUMERS FREE OF CHARGE, YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) TRUESTAMP, ITS FOUNDERS, AND THEIR RESPECTIVE AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REWARDS, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) TRUESTAMP'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE APP SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH ANY CLAIM IS BASED, WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO THIS LIMITATION MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless TrueStamp, its founders Mohd Aquib Khan and Umar Raza Ansari individually, and their respective successors and assigns, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the App; (b) your User Content, including any review submitted through the App; (c) your violation of this Agreement; or (d) your violation of any applicable law or the rights of any third party, including a Business Owner.

10. DISPUTE RESOLUTION: BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

10.1 AGREEMENT TO ARBITRATE. YOU AND TRUESTAMP AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE APP ("DISPUTE") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL ACTION IN SMALL CLAIMS COURT. THE ARBITRATION WILL BE ADMINISTERED BY A RECOGNIZED INTERNATIONAL ARBITRATION INSTITUTION (SUCH AS THE ICC, LCIA, OR SIAC) UNDER ITS CONSUMER OR COMMERCIAL ARBITRATION RULES THEN IN EFFECT. THE SEAT OF ARBITRATION SHALL BE THE JURISDICTION WHERE TRUESTAMP IS FORMALLY INCORPORATED, OR IF NOT YET INCORPORATED, THE FOUNDERS' PRINCIPAL PLACE OF BUSINESS. THE ARBITRATOR, NOT ANY COURT, SHALL HAVE EXCLUSIVE AUTHORITY TO RESOLVE ANY DISPUTE RELATING TO THE INTERPRETATION, APPLICABILITY, ENFORCEABILITY, OR FORMATION OF THIS AGREEMENT TO ARBITRATE.

10.2 CLASS ACTION WAIVER. YOU AND TRUESTAMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND TRUESTAMP AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

10.3 WAIVER OF JURY TRIAL. YOU AND TRUESTAMP HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHT TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY, EXCEPT AS PROVIDED ABOVE FOR SMALL CLAIMS COURT.

10.4 30-DAY RIGHT TO OPT OUT. YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT. IF YOU DO SO, NEITHER YOU NOR TRUESTAMP CAN REQUIRE THE OTHER TO PARTICIPATE IN ARBITRATION. TO OPT OUT, YOU MUST SEND WRITTEN NOTICE TO TRUESTAMP.PRIVACY@GMAIL.COM WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST ACCEPT THIS AGREEMENT, INCLUDING YOUR NAME, THE EMAIL ADDRESS ASSOCIATED WITH YOUR ACCOUNT, AND A CLEAR STATEMENT THAT YOU WISH TO OPT OUT OF ARBITRATION. OPTING OUT OF ARBITRATION HAS NO EFFECT ON ANY OTHER PART OF THIS AGREEMENT.

10.5 SEVERABILITY OF THIS SECTION. IF ANY PART OF THIS SECTION 10 IS FOUND UNENFORCEABLE, THE REMAINDER SHALL REMAIN IN FULL FORCE AND EFFECT, EXCEPT THAT IF THE CLASS ACTION WAIVER IN SECTION 10.2 IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM OR REQUEST FOR RELIEF, THAT CLAIM OR REQUEST MUST BE SEVERED AND BROUGHT IN COURT, WITH THE REMAINDER OF THE DISPUTE PROCEEDING TO ARBITRATION.

11. Governing Law

This Agreement and any Dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction where TrueStamp is formally incorporated, or if TrueStamp has not yet been formally incorporated as a legal entity, the laws of the founders' principal place of business (currently India), without regard to conflict-of-laws principles. When TrueStamp formally incorporates, the governing law will automatically update to match the jurisdiction of incorporation, and we will notify you of this change via the notification mechanism described in Section 12.

12. Changes to Terms

We may update this Agreement from time to time. If we make material changes, we will notify you through an in-app banner and/or an email to the address associated with your account before the changes take effect. The "Version / Effective Date" at the top of this document reflects the date of the most recent revision. Your continued use of the App after updated Terms take effect constitutes your acceptance of the revised Agreement. If you do not agree to the revised Terms, you must stop using the App and may delete your account.
