TrueStamp Business Terms of Service
Last Updated: September 2, 2026
These Business Terms of Service (the "Business Terms" or "Agreement") govern access to and use of the TrueStamp dashboard, digital loyalty stamp card campaigns, QR code scanning tools, and AI-assisted review tools (collectively, the "Service") by business account holders ("Business," "Business Owner," "you," or "your"). The Service is provided by Mohd Aquib Khan and Umar Raza Ansari, doing business as TrueStamp ("TrueStamp," "we," "us," or "our").
This Agreement governs the business/commercial relationship between TrueStamp and Business Owners only. It is separate from the TrueStamp Consumer Terms of Service, which govern individual end users ("Customers") who collect stamps and submit reviews.
1. Acceptance & Authority
1.1 Agreement to Terms.By clicking "I Agree," creating a Business account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement, our Privacy Policy, and, where applicable, our Data Processing Addendum ("DPA"), each incorporated herein by reference.
1.2 Authority to Bind.If you are accepting this Agreement on behalf of a company, sole proprietorship, partnership, or other entity ("Business Entity"), you represent and warrant that you have the legal authority to bind that Business Entity to this Agreement. If you do not have such authority, you must not accept this Agreement or use the Service on the entity's behalf. In such case, you may be held individually responsible for the obligations set out in this Agreement.
1.3 Eligibility. You must be at least 18 years old, and legally capable of entering into a binding contract in your jurisdiction, to accept this Agreement.
2. Account Registration & Security
2.1 Accurate Information. You agree to provide accurate, current, and complete information during registration and to keep such information up to date.
2.2 Staff and Sub-Accounts.You may create sub-accounts for employees, cashiers, or other staff ("Authorized Users") to access the Service on your behalf. You are solely responsible for the acts and omissions of all Authorized Users, and for all activity that occurs under your Business account, whether or not you authorized that specific activity.
2.3 Credential Security. You are responsible for maintaining the confidentiality of your account credentials, including any credentials issued to Authorized Users. You agree to notify us promptly at truestamp.privacy@gmail.com of any unauthorized use of your account or any other breach of security.
2.4 Suspension for Security Reasons. We may suspend or restrict access to an account where we reasonably suspect unauthorized access, fraud, or a security risk, and will make commercially reasonable efforts to notify you promptly.
3. Data Ownership & Privacy (Controller/Processor Relationship)
3.1 Ownership of Customer Data.As between TrueStamp and Business, Business owns and controls all data relating to its Customers that is collected, generated, or stored through the Service, including names, contact details, stamp and visit history, loyalty program activity, and review content submitted by Customers ("Customer Data"). Where data protection laws such as the EU/UK General Data Protection Regulation ("GDPR") apply, Business acts as the "Data Controller" and TrueStamp acts as the "Data Processor" (or equivalent terms under other applicable law) with respect to Customer Data.
3.2 Limited Processing License. Business grants TrueStamp a limited, non-exclusive, worldwide license to access, host, store, transmit, and process Customer Data solely as necessary to provide, maintain, secure, and improve the Service — including operating loyalty campaigns, generating AI-assisted review prompts, and producing aggregate or anonymized analytics — and solely in accordance with this Agreement, our Privacy Policy, and the DPA.
3.3 Data Processing Addendum. Our DPA, available upon request or at the location designated in the Service, is incorporated into this Agreement by reference and governs TrueStamp's processing obligations, use of sub-processors, international data transfers, and security and breach-notification commitments with respect to Customer Data. Where the DPA and this Agreement conflict as to data processing matters, the DPA controls.
3.4 Business's Compliance Obligations. Business represents and warrants that it has obtained all consents, provided all notices, and has all legal bases required under applicable law (including GDPR, CCPA/CPRA, and other privacy laws) to collect Customer Data and to share it with TrueStamp for the purposes described in this Agreement.
3.5 Privacy Policy. Our Privacy Policy, describing how we handle personal data generally, is incorporated into this Agreement by reference.
4. Acceptable Use & AI-Assisted Review Restrictions
4.1 General Acceptable Use. You will use the Service only for lawful business purposes and will not: (a) reverse-engineer, decompile, or attempt to extract source code from the Service; (b) scrape, crawl, or use automated means to access the Service outside of provided APIs; (c) interfere with or disrupt the integrity or performance of the Service; or (d) attempt to circumvent rate limits, usage tiers, or security features.
4.2 Prohibition on Fake or Deceptive Reviews. You will not use TrueStamp's AI-assisted review tool, or any other feature of the Service, to generate, request, submit, or encourage reviews that are fake, deceptive, written or submitted by someone who did not have the represented experience with your business, or that otherwise misrepresent the reviewer's identity, affiliation, or actual experience. This restriction is intended to ensure compliance with the FTC's rule on fake and manipulated consumer reviews and testimonials (16 C.F.R. Part 465) and equivalent laws in other jurisdictions.
4.3 Prohibition on Review Gating. You will not selectively route the AI review-request flow only to Customers you believe are satisfied (for example, by pre-screening sentiment and only inviting happy Customers to leave a public review) while suppressing or diverting dissatisfied Customers away from an equal opportunity to leave a public review, where doing so has the effect of misrepresenting your overall Customer sentiment.
4.4 Prohibition on Sentiment-Conditioned Incentives. You will not offer loyalty stamps, discounts, free products, or any other incentive that is expressly or implicitly conditioned on a Customer leaving a positive review or a review of a particular star rating. Neutral incentives to leave a review — offered equally regardless of the sentiment the Customer intends to express, and clearly disclosed as compensation for feedback — are permitted, provided they otherwise comply with applicable platform policies (e.g., Google, Yelp) and law.
4.5 Prohibition on Review Manipulation. You will not purchase reviews, exchange reviews with other businesses, use bot or fake accounts to post reviews, or otherwise artificially inflate or manipulate ratings or review counts.
4.6 Consequences of Violation. Violation of this Section 4 constitutes a material breach of this Agreement and is grounds for immediate suspension or termination of your account without refund, and triggers your indemnification obligations under Section 10.
5. Fees, Billing, and Cancellation
5.1 Current Free Tier.As of the Effective Date, the Service is offered to Business Owners free of charge. TrueStamp may introduce paid subscription tiers ("Paid Plans") in the future upon reasonable advance notice.
5.2 Payment Processing. Fees for Paid Plans, when introduced, will be processed through a third-party payment processor (such as Stripe). By subscribing to a Paid Plan, you authorize us and our payment processor to charge your designated payment method for all applicable fees.
5.3 Auto-Renewal. Paid Plans will automatically renew for successive terms equal to the immediately preceding term (e.g., monthly renews monthly, annually renews annually) unless canceled prior to the renewal date in accordance with Section 5.4. We will provide any renewal notice required by applicable law in advance of auto-renewal.
5.4 Cancellation. You may cancel a Paid Plan at any time using a single, clearly labeled cancellation control within your dashboard account settings ("Cancel Subscription"). Cancellation will not require you to contact customer support, navigate a retention offer, or complete more steps than were required to originally subscribe. This process is designed to comply with the FTC's "click-to-cancel" requirements under the Negative Option Rule and equivalent laws.
5.5 Effect of Cancellation. Cancellation takes effect at the end of the then-current billing period. Except as required by law or expressly stated otherwise, fees already paid are non-refundable and no prorated refunds will be issued for early cancellation.
5.6 Price Changes. We will provide advance notice of any price increase to existing subscribers before it takes effect, along with an opportunity to cancel before the new price applies to you.
5.7 Taxes.Fees are exclusive of applicable taxes, and you are responsible for any sales, use, VAT, or similar taxes associated with your subscription, other than taxes on TrueStamp's net income.
6. Intellectual Property
6.1 TrueStamp IP.TrueStamp owns all right, title, and interest in and to the Service, including the dashboard, underlying software, AI models and prompts, technology, trademarks, the "TrueStamp" name and logo, and any aggregated, anonymized, or de-identified analytics derived from use of the Service that do not identify Business or any individual Customer ("Aggregate Data"). Nothing in this Agreement transfers any TrueStamp intellectual property rights to Business.
6.2 License to Business. Subject to your compliance with this Agreement, TrueStamp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of this Agreement solely for your internal business purposes.
6.3 Business IP and Content.Business retains all ownership of its trademarks, logos, business name, campaign descriptions and copy, and Customer Data (collectively, "Business Content"). Business grants TrueStamp a limited, non-exclusive, royalty-free license to host, display, reproduce, and use Business Content solely as necessary to operate, provide, secure, and improve the Service (for example, displaying your logo within your dashboard or generating QR codes for your campaigns).
6.4 Feedback. If you provide suggestions, ideas, or feedback about the Service, TrueStamp may use that feedback for any purpose without obligation or compensation to you.
7. Term & Termination
7.1 Term. This Agreement begins when you accept it and continues until terminated as set out below.
7.2 Termination for Convenience. You may terminate this Agreement at any time by canceling your account and discontinuing use of the Service. TrueStamp may terminate this Agreement for convenience upon at least thirty (30) days' notice to you.
7.3 Termination for Cause.TrueStamp may suspend or terminate your account immediately and without prior notice if: (a) you materially breach Section 4 (Acceptable Use & AI-Assisted Review Restrictions); (b) you fail to pay applicable fees when due; (c) you engage in fraudulent, illegal, or unauthorized activity in connection with the Service; or (d) your continued use poses a security or legal risk to TrueStamp, other users, or third parties.
7.4 Data Export Upon Termination.Upon termination of this Agreement for any reason, your access to the Service will end. You will have thirty (30) days following termination to export your Customer Data using the Service's export tools or by written request to truestamp.privacy@gmail.com. After this 30-day period, TrueStamp may delete Customer Data associated with your account, except where retention is required by applicable law.
7.5 Survival. Sections 3.3–3.4 (to the extent relating to post-termination data handling obligations), 6, 8, 9, 10, 11, and 13 survive termination of this Agreement.
8. DISCLAIMER OF WARRANTIES
THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT AND OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUESTAMP AND ITS FOUNDERS DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TRUESTAMP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED REVIEW SUGGESTIONS OR OTHER OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND APPROVING ANY AI-GENERATED CONTENT BEFORE IT IS USED OR PUBLISHED.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TRUESTAMP, ITS FOUNDERS (MOHD AQUIB KHAN AND UMAR RAZA ANSARI), OR THEIR RESPECTIVE AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF TRUESTAMP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TRUESTAMP'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY BUSINESS TO TRUESTAMP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS (USD $500) FOR BUSINESSES ON A FREE TIER THAT HAVE PAID NO FEES DURING THAT PERIOD.
THE LIMITATIONS IN THIS SECTION 9 APPLY REGARDLESS OF WHETHER ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, AND REFLECT AN ALLOCATION OF RISK REASONABLY RELIED UPON BY THE PARTIES IN ENTERING THIS AGREEMENT, INCLUDING IN LIGHT OF THE SERVICE CURRENTLY BEING OFFERED FREE OF CHARGE.
10. Indemnification
You will defend, indemnify, and hold harmless TrueStamp, its founders Mohd Aquib Khan and Umar Raza Ansari (in their individual and personal capacities), and their respective successors and assigns, from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Data, including its collection, accuracy, or your sharing of it with TrueStamp; (b) your use of the AI-assisted review tool, or any reviews solicited, generated, or published in connection with your use of the Service; (c) your actual or alleged violation of FTC review and endorsement guidelines, 16 C.F.R. Part 465, or any other applicable consumer protection, advertising, or third-party platform review policy (including those of Google or Yelp); or (d) your breach of this Agreement or violation of applicable law.
11. Governing Law & Dispute Resolution
11.1 Governing Law.This Agreement is governed by the laws of the jurisdiction where TrueStamp is formally incorporated, or if TrueStamp has not yet been formally incorporated as a legal entity, the laws of the founders' principal place of business (currently India), without regard to its conflict-of-laws principles. When TrueStamp formally incorporates, the governing law will automatically update to match the jurisdiction of incorporation, and we will notify you of this change via the notification mechanism described in Section 12.
11.2 Dispute Resolution.Any dispute arising out of or relating to this Agreement will be resolved by binding arbitration administered by a recognized international arbitration institution (such as the ICC, LCIA, or SIAC) under its Commercial Arbitration Rules, conducted by a single arbitrator, with the seat of arbitration in the jurisdiction where TrueStamp is formally incorporated, or if not yet incorporated, the founders' principal place of business. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
11.3 No Class Actions. Disputes will be resolved on an individual basis only, and Business waives any right to participate in a class, collective, or representative action, to the extent permitted by applicable law.
12. Changes to Terms
We may update this Agreement from time to time. We will notify Business Owners of material changes by email and/or a banner within the dashboard prior to the change taking effect. Continued use of the Service after the effective date of an updated Agreement constitutes acceptance of the changes. If you do not agree to the updated terms, you must stop using the Service and may cancel your account.
